Audited Annual Information for 2025 of UAB Modus Grupė

UAB Modus Grupė (the Company) is a private limited liability company wholly owned by the controlling entity MG NL holding B.V. The Company’s core activity is management consulting. The principal activities of the Group of companies controlled by the Company include automotive retail, mobility services, and investment management.

Please note that following the internal structural changes implemented within the group, the financial results of companies operating in the renewable energy sector and controlled by the Company’s shareholder MG NL holding B.V. have not been consolidated at the level of UAB Modus Grupė since January 2020 and therefore, are not reflected in the Company’s financial statements. The only exception is the consolidated result of the renewable energy company AB Green Genius Baltic, which was included until 2 September 2024 and has not been consolidated thereafter.

The group of companies of UAB Modus Grupė (the Group) consists of the Company and its 7 subsidiaries (as of 31 December 2024 – 7), 44 sub-subsidiaries (as of 31 December 2024 – 46), and 1 associate. The Group’s principal activities include the sale of cars and motorcycles (a network of 15 brand dealerships, including Porsche, Bentley, Cupra, MG, XPENG and others), mobility services (CityBee and MyBee), and investment fund management (Envolve Capital).

In 2025, the Group’s consolidated revenue amounted to EUR 525,311 thousand, representing a 15.5% increase compared to 2024 (EUR 454,968 thousand).

The Group’s consolidated net profit (after tax) for 2025 amounted to EUR 1,967 thousand, which is EUR 17,927 thousand lower than in the previous reporting period (2024: EUR 19,894 thousand).

In 2025, the Group’s consolidated EBITDA amounted to EUR 23,911 thousand (2024: EUR 35,172 thousand), reflecting a decrease of 32% compared to 2024.

UAB Modus Grupė is part of the international “Modus Group”. MG NL holding B.V. is the entity consolidating “Modus Group” companies and holds 100% of UAB Modus Grupė shares as well as a majority stake in Green Genius International B.V.

The companies controlled by UAB Modus Grupė operate primarily in automotive retail, mobility services, and investment management. Companies controlled by Green Genius International B.V. operate in the renewable energy sector and are known under the Green Genius brand.
